Terms of Service

THIS IS A LEGALLY BINDING AGREEMENT. PLEASE READ IT CAREFULLY.

By creating an account with [JAJ AUTO INVESTMENT HOLDINGS LLC] (“we”, “us” and “our”), or by accessing or attempting to access any software, integrations, or services (collectively, the “Services”), including third-party services and integrations (“Third-Party Services”), that JAJ AUTO INVESTMENT HOLDINGS LLC makes available on our website or mobile application(s) (collectively, the “Platform”), you and the entity that you represent, and all agents, representatives, officers, directors, employees, independent contractors, and other persons purporting to act on behalf of you or the entity that you represent (collectively, “you” and “your”), hereby agree as follows:

You will comply with all applicable laws, rules, and regulations in connection with your use of the Platform, including, without limitation, the Telephone Consumer Protection Act (“TCPA”), the Do Not Call Registry Rules and the CAN-SPAM Act. You represent and warrant that you understand and will comply with those laws. JAJ AUTO INVESTMENT HOLDINGS LLC is not responsible for your compliance with laws and does not represent that your use of the Platform will comply with any laws.

You will indemnify, defend (with counsel selected by JAJ AUTO INVESTMENT HOLDINGS LLC), hold harmless, and immediately reimburse JAJ AUTO INVESTMENT HOLDINGS LLC and its owners, managers, officers, employees, agents and representatives (collectively, the “Indemnitees”), for, from and against any and all judgments, damages, demands, lawsuits, investigations, proceedings, losses and expenses (including attorneys’ fees and costs) that any of the Indemnitees suffer or incur arising out of or relating to (i) any violation by you of any applicable laws, including, without limitation, the TCPA, (ii) any fraud, other intentional misconduct, or negligence by you, and/or (iii) any breach by you of any agreement with JAJ AUTO INVESTMENT HOLDINGS LLC, including, without limitation, the Platform Terms (defined below). For avoidance of doubt, the word “you”, as used herein, includes all the individuals and entities referenced in the definition of “you” above.

You have read, understood and will abide by the following policies, terms and conditions (collectively, the “Platform Terms”): (a) JAJ AUTO INVESTMENT HOLDINGS LLC Terms of Service (URL),
JAJ AUTO INVESTMENT HOLDINGS LLC Privacy Policy (URL), and all other policies that
Avion Protection Assurance LLC may post on the Platform from time to time, all of which are subject to change without notice, and (b) all terms of service/use, privacy policies and all other policies that the providers of Third-Party Services post on their respective websites from time to time (“Third-Party Policies”), all of which are subject to change in accordance with the Third-Party Policies. Your use of the Platform and your relationship with
JAJ AUTO INVESTMENT HOLDINGS LLC shall be governed by Florida law. IN ANY LAWSUIT OR OTHER PROCEEDING BETWEEN YOU AND JAJ AUTO INVESTMENT HOLDINGS LLC, YOU KNOWINGLY AND IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY. You further agree that any lawsuit or other proceeding between you and JAJ AUTO INVESTMENT HOLDINGS LLC may be commenced in the state and federal courts located in the county encompassing JAJ AUTO INVESTMENT HOLDINGS LLC principal place of business (as of the date such lawsuit or other proceeding is commenced), and you hereby submit yourself to the personal jurisdiction and venue of such courts.
